Steps to register a OPC in Odisha

OPC as a separate legal entity that can be formed with one member or shareholder.

Applying for company Name

You are required to provide at least 2 names for one and up to a maximum number of 2 names is allowed as a proposed name by using the RUN facility at the MCA portal for approval.

5 Must Have Documents For OPC Registration

To register a One Person Company (OPC) in odisha, you must have following documents. Without these documents you can’t register you OPC. You may require additional documents based on the nature of business.


  • PAN
    Income tax PAN is a must for the director and shareholder to get started.
  • ID Proof
    Voter ID/passport/driving license is accepted as ID proof along with address proof for residential and permanent address.
  • Address Proof
    latest bank statement / telephone or mobile bill / electricity or gas bill is accepted as address proof. It should not be older than 2 months.
  • Passport-sized photograph & specimen signatures
    Passport sized photograph is required along with specimen signatuires in a blank paper. Scanned signature will also be helpful.
  • Registered Office Address
    Notarised rental agreement, no-objection certificate from house owner and latest electricity bill required for company’s registered office address.

Post-incorporation compliance for a One Person Company.

Post-incorporation compliance of a OPC is same as its for a private limited company. Please note, based on type of business and registrations, you may require additional compliances as per the Companies Act, Income tax Act and other laws. You need to appoint a legal consultant based on your size of business to take care of all legal compliances.

Auditor Appointment

Within 30 days from the date of incorporation, OPC must appoint a practicing chartered accountant as it’s first auditor as per the Companies Act, 2013.

Subscription Deposit

Subscriber must deposit the subscription amount in OPC’s bank account within 180 days of incorporation.

Director KYC

Every year on or before 30th September, directors of the OPC with Director Identification Number (DIN) should undergo a DIN KYC process.

Annual filing

Every financial year, the One Person Company must file it’s audited financial statements and annual return with MCA. The OPC should also file income tax return with the Government on or before the due date of filing.

What are the documents as a director I shoud have to register a OPC?

To become a director you should have identity and address proof, as well as a copy of the PAN card (for Indian nationals).

As per companies act 2013, only a natural person who is an Indian citizen can establish an One Person Company (OPC) in India. Legal entities such as Private limited companies or LLPs cannot create an OPC.

If the OPC wants to use director’s premises as it’s registered office address, then the director must provide a No-objection certificate (NOC) stating he/she does not have any problem if the company uses their premises as registered office.

Should I be a resident in India to establish OPC?

Yes, as per the companies act 2013, the promoter of OPC must be a resident in India, meaning they should have lived in India for at least 182 days during the previous calendar year.

Do I need to audit my OPC’s accounts?

Yes, after registration, you must appoint a practicing chartered accountant as your company’s first auditor. As per law, company’s first auditor must be appointed within 30 days of its incorporation.

For every financial year, the OPC’s books of account must be audited by the company’s auditor. Financial statements along with the audit report should be filed with MCA on or before the due date of filing.

What is the minimum capital needed to register a One Person Company?

There is no minimum capital required for starting a OPC.

Can you register One Perosn Company on your home address?

Yes, a OPC can be registered at the owner’s home address. A copy of the utility bill along with no objection certificate from the director/shareholder is required to be submitted at the time of incorporation along with property documents.

Can I convert my OPC to Private Limited?

Yes, if the One Person Company’s paid-up share capital exceeds 50 lakhs or its average annual turnover surpasses 2 Crores, it must be converted into a private limited company. You need to follow the steps required for such conversion.
