Process followed for company name change.

To change your company’s name, you need to follow four steps. If ROC is satisfied with your application, a new certificate of incorporation reflecting your new name in it will be issued. Checking name availability

Before selecting or applying for company name change, you must first check the availability at MCA site and check for copyrights by a trademark search for the proposed name. Passing of board resolution

You need to conduct a board meeting to pass a resolution to change the name of the company. Take directors’ approval in this board meeting. Your resolution must be approved with the new name and authorisation to a director to apply for name change with the ministry of corporate affairs.

Passing of special resolution

You are required to convey an extraordinary general meeting (EGM) to pass a special resolution for changing the name of the company and making appropriate changes to the Article of Association (AoA) and the Memorandum of Association (MoA).

Apply for company name change

The special resolution in form MGT-14 should be filed first within 30 days of passing. Thereafter, within 30 days Form INC-24 is required to be filed with the ROC in order to obtain approval from the central government. Based on the name and other requirements, you may need to enclose certain additional documents with these forms.

What are the documents required to change company name?

Following documents will be required to draft and file e-forms with ROC to change your company’s name.

  • Notice of the extraordinary general meeting (EGM)
  • Certified copy of the special resolution passed in the extraordinary general meeting (EGM)
  • Explanatory statement
  • Copy of altered MoA and AoA
  • Certified true copy of the minutes of the extraordinary general meeting (EGM)
  • Notice of the EGM
  • Special approved orders if any received from authorities like IRDA, SEBI, RBI, etc.
  • Certified copy of resolution agreement mentioning the members voting for and against the resolution
  • Copy of altered MoA and AoA with the new company name in it

In addition to above documents you may require to attach other additional documents based on different circumstances.

After getting a new certificate of incorporation, you need to update the company’s new name on all its legal documents, such as bank accounts, contracts, and licenses. You need to notify all the stakeholders including customers, suppliers, and employees, of the name change.

No, a change in company’s name will not result in the formation of a new company. It will continue to exist with the new name and same legal status.
